Terms & Conditions

These Terms & Conditions ("Terms") are an agreement between you and Compliance Admins LLC ("Compliance Admins", "we", "us"), the operator of the ThirdNexa platform (the "Service"). By creating an account or continuing to use the Service, you agree to these Terms. If you use the Service on behalf of an organization, you confirm you have authority to bind that organization, and "you" refers to that organization.

ThirdNexa is a third-party risk management platform for financial services firms and the consultancies that service them. It helps you maintain a vendor inventory, run due diligence reviews, track documents, contracts, findings and remediation, and produce examination-ready records. We grant you a limited, non-exclusive, non-transferable right to use the Service within the limits of your selected plan.

The Service is record-keeping and workflow technology. It does not provide legal, compliance, or regulatory advice, and it does not determine whether any vendor or firm is "approved" or "compliant". Every risk decision, approval, and conclusion recorded in the Service is made by your firm, not by the software.

You agree to:

• Provide accurate information and keep it up to date.
• Keep your credentials and multi-factor authentication device confidential; you are responsible for all activity under your account.
• Not misuse the Service, including no unlawful use, fraud or spam, no infringement of others' intellectual property, and no interference with the Service's security (including malware, probing, or scraping).
• Not reverse engineer the Service, resell or redistribute access, or circumvent plan limits or technical controls.

You retain all rights to the data you enter into the Service. You grant us a limited license to host and process that data solely to provide the Service to you. We apply appropriate technical and organizational measures, including encryption in transit and at rest and per-organization access controls.

ThirdNexa uses anonymized, aggregated usage data (such as vendor counts and feature usage) to improve the product. We never share individual firm data.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Paid plans renew automatically at the interval you selected (monthly or annual) until canceled. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms (paddle.com/legal/checkout-buyer-terms). Our refund terms are described in our Refund Policy.

We work to keep the Service reliable, but we do not guarantee uninterrupted or error-free performance. Planned maintenance and circumstances beyond our reasonable control (force majeure) may affect availability.

We retain all ownership of the Service and its intellectual property, including the software, documentation, and ThirdNexa and Compliance Admins branding. These Terms grant no rights to our IP except the limited usage right in Section 2.

We may suspend or terminate access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the Service and cancel your subscription at any time. When a subscription ends, we can provide a reasonable export of your data on request; records may then be deleted in line with our retention practices.

To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose. We are not liable for indirect, consequential, or special damages (including loss of profits, data, or goodwill). Our aggregate liability is capped at the fees you paid in the 12 months before the claim, except where liability cannot be limited by law (such as fraud, death, or personal injury).

You may not assign these Terms without our consent; we may assign them in connection with a merger or acquisition. These Terms are governed by the laws of the State of Illinois, USA, and disputes will be resolved in the courts located there.
